The website at heyqmo.com and Map2Close's other public websites (the "Site") are owned and operated by Map2Close Inc. ("Map2Close", "we", "us"). These Terms of Use ("Terms") govern your use of the Site. By using the Site, you agree to them. If you do not agree, please do not use the Site.
These Terms cover the public website only. Use of the Qmo product is governed by the Qmo Terms of Service, which your company accepts when it signs up.

1. Using the Site

1.1 License. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site to learn about our products and services and to contact us. You must be at least 18 years old.

1.2 Restrictions. You may not: (a) sell, license or commercially exploit the Site or its content; (b) copy, modify or create derivative works from it, except to print or save pages for your own reference; (c) reverse engineer any part of it; (d) scrape, crawl or harvest data from it by automated means, including to train AI models, without our written permission; (e) use it to build a competing product; or (f) interfere with its security or operation.

1.3 Changes. We may change, suspend or discontinue any part of the Site at any time.

1.4 Ownership. Map2Close and its licensors own the Site and its content, including text, graphics, logos and software. Map2Close, Qmo and our logos are our trademarks. You may not use them without our written permission.

1.5 Feedback. If you send us suggestions or feedback, we may use them freely without obligation to you.

2. Privacy and cookies

Our Privacy Policy and Cookie Notice explain how we collect and use personal information and cookies on the Site. They form part of these Terms.

3. Content and information on the Site

Site content, including articles, guides, templates and examples, is for general information only. It is not legal, financial or other professional advice, and results described on the Site are not guaranteed.

4. Third-party sites

The Site may link to third-party websites and services. We do not control or endorse them and are not responsible for them. Their own terms and privacy policies apply.

5. Disclaimers

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES AND CONDITIONS, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE OR FREE OF HARMFUL CODE, OR THAT ITS CONTENT IS ACCURATE OR COMPLETE.

6. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA, ARISING FROM YOUR USE OF THE SITE; AND (B) OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED CANADIAN DOLLARS (CAD $100). Some jurisdictions do not allow these limitations, so they may not fully apply to you.

7. Indemnity

You will indemnify Map2Close and its directors, officers, employees and agents against claims and reasonable costs, including legal fees, arising from your breach of these Terms or misuse of the Site.

8. Termination

We may suspend or end your access to the Site at any time, including if we believe you have breached these Terms. Sections 1.4, 1.5 and 3 to 9 survive.

9. General

9.1 Governing law and courts. These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there. You and we submit to the exclusive jurisdiction of the courts located in Toronto, Ontario, except that either party may seek injunctive relief in any competent court to protect its intellectual property, and nothing in these Terms removes any right you have under the mandatory consumer protection laws of the place where you live.

9.2 Changes. We may update these Terms by posting a new version on the Site with a new "Last updated" date. Changes apply from that date. Your continued use of the Site means you accept them.

9.3 Electronic communications. You agree to receive communications from us electronically. They satisfy any legal requirement for written notice.

9.4 Accessibility. We aim for the Site to meet the Web Content Accessibility Guidelines (WCAG) 2.1, Level AA. If you have difficulty using the Site, email legal@map2close.com and we will help.

9.5 Language. The parties have required that these Terms be drawn up in English. Les parties ont exigé que les présentes conditions soient rédigées en anglais.

9.6 Entire agreement. These Terms, with the Privacy Policy and Cookie Notice, are the entire agreement between you and us about the Site. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them to a successor.
